App Ownership & License
You build applications on UpliftOS. This document says who owns what, what license each party gives the other, and how you take your application with you. It is the ownership half of the agreement; the commercial half is in our Terms of Service, and the money half is in Billing & Credits and App Payments.
One sentence first, because everything below follows from it: the application you build is yours. UpliftOS licenses you a platform. It does not take a share of what you build on it.
1. What You Own
You own, outright and exclusively, everything that is distinctively your application:
- Your source code, including code the platform generated from your prompts and specifications
- Your database schema, your migrations, and all data in your application
- Your application's name, branding, logos, colors, copy, and design
- Your configurations, agent definitions, prompts, workflows, and integrations
- Your documents, uploads, knowledge bases, and any material you bring to the platform
UpliftOS claims no ownership interest in any of it, takes no assignment of it, and acquires no residual or reuse right over it. We do not license your application to anyone else, we do not reuse your code in another customer's application, and we do not treat what you build as a contribution to our product.
2. What UpliftOS Owns, and What We License to You
UpliftOS owns the platform: the runtime, the build pipeline, the agent framework, the cockpit and shell, the design system, the hosting and deployment machinery, our templates and golden applications, and the platform's own name and marks. These remain ours, and nothing in this document transfers them.
While your subscription is active, we grant you a non-exclusive, worldwide, non-transferable license to use the platform, and to use, modify, run, distribute, and commercialize the application you build with it. That license to your built application is perpetual and survives the end of your subscription — see Section 7.
Where your application starts from a UpliftOS template or golden application, the code that template contributed is licensed to you on the same terms, for use inside your application. You may modify it, deploy it, and sell access to the application that contains it. You may not extract a template's code and redistribute it as a competing template, starter kit, scaffold, or development platform. Marks and trademarks are covered separately by our Trademark Notice.
3. The License You Give Us Is Narrow, and This Is All of It
To run your application we necessarily process what it contains. You grant UpliftOS a limited license to host, store, execute, compile, build, deploy, back up, replicate, monitor, and transmit your code, schema, configuration, and data — and to do the same for the purpose of providing support you ask for.
That license exists only to operate the service for you. It is limited to what operation requires, it lasts only as long as we hold your material, and it grants us nothing else. In particular:
- We do not train models on your content. No UpliftOS model, and no model belonging to a provider we use, is trained, fine-tuned, or otherwise improved on your code, your data, your prompts, your documents, or your application's end-user content. This is an absolute statement with no consent carve-out; if it ever changes it changes by a written amendment you sign, not by a policy update.
- We do not use your application to build our product. We do not copy your features, your schema, or your design into the platform or into a template.
- We do not sell, license, or disclose your material to third parties, except to the subprocessors we publish at Subprocessors, acting on our behalf under the Data Processing Addendum, or where the law compels us.
4. Taking Your Application With You
Portability is a mechanism here, not a promise. If UpliftOS hosts your repository, an owner or administrator of your organization can:
- Download the code. Your repository's default branch is available as a compressed archive from your application's page. It requires an active owner or administrator membership and nothing else — no builder seat, no unexpired trial, and no particular billing standing. Somebody can stop being a builder and keep what they built.
- Clone and push directly. You can issue a short-lived, repository-scoped credential and work against the repository with ordinary Git tooling.
- Move the repository to your own account. A move copies every branch and tag to the destination, verifies that both hosts report identical branch tips, and only then switches your application over. Nothing is deleted: the previous location is recorded, so the move can be reversed.
If you brought your own repository, your code was never ours to hold — it stays in your account throughout, and there is nothing to export.
Your data is covered by Data Rights and the retention schedule at Data Retention & Deletion.
5. Generated Code, Open Source, and What We Do Not Warrant
Code the platform generates from your prompts is yours, and it is provided without any warranty of originality or non-infringement. Generated output may resemble output produced for someone else. You are responsible for reviewing it, confirming you hold the rights you need, and checking that it does not infringe a third party or misappropriate a trade secret, before you deploy or distribute it.
Applications built on UpliftOS incorporate open-source software, which remains governed by its own licenses. Those licenses run to you directly and we do not alter them. Complying with them when you use, distribute, or commercialize your application is yours to do.
6. Your Application's End Users
Your application's users are your users. You are their provider: you set their terms, publish their privacy notice, answer their support requests, and are responsible for the application's content, availability, and legal compliance. UpliftOS is not a party to your agreement with them. The baseline platform terms that reach them are at Terms for Applications Built on UpliftOS.
If you distribute your application under your own brand as a standalone desktop or mobile application that UpliftOS builds and signs for you, additional terms apply — see the Customer-Branded App Addendum.
7. Termination, and What Survives It
If your subscription ends, for any reason:
- Your ownership does not change. It never depended on the subscription.
- Your license to your own built application survives, perpetually, including the template code inside it. You may keep running, modifying, distributing, and selling it.
- Your license to the platform ends. Hosting, builds, deployments, agents, and the cockpit stop. The application continues only where you run it yourself.
- Export remains available for as long as we hold your repository, and we hold it under the retention schedule at Data Retention & Deletion. Export before the window closes; after it, the copy is gone because you asked us to delete it.
- Our narrow license in Section 3 ends when we stop holding the material it covers.
8. Limits of This Document
This document allocates ownership. It does not change the warranty disclaimers, the indemnities, or the limitation of liability in our Terms of Service, all of which apply to everything described here.
