UpliftOS is an AI-powered operating system for work — a platform where individuals and businesses build, deploy, and run their own applications and autonomous AI agents. By using our services, you agree to these terms and our commitment to protecting your data.
1. Agreement to Terms
By accessing or using the UpliftOS platform, applications, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Spoko.ai Inc, doing business as UpliftOS ("UpliftOS," "we," "us," or "our") provides these Services to help you build, deploy, and manage applications and autonomous AI agents on the UpliftOS platform.
If you do not agree to these Terms, you may not access or use our Services. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.
2. Description of Services
UpliftOS provides an operating system for building and running your business. The Services enable you to:
- Build, deploy, host, and operate custom applications — including applications generated from your specifications using AI, with their own code, databases, and interfaces
- Build and deploy autonomous AI agents for business automation
- Run your applications on UpliftOS-managed infrastructure, in your own cloud, or self-hosted
- Integrate with third-party services and APIs
- Buy, sell, and install apps, agents, and templates on the UpliftOS Marketplace
- Manage workflows, tasks, and automations
- Access AI-powered tools for research, development, data collection, and communication
- Store and manage data securely in the cloud
Features labeled beta, preview, or experimental are provided as-is, may change or be withdrawn at any time, and may not be suitable for production use.
3. Eligibility
To use UpliftOS, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the authority to bind yourself or your organization to these Terms
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
You are responsible for all activities that occur under your account.
4. Your Data
Your data belongs to you. We implement enterprise-grade security measures including end-to-end encryption, access controls, and regular security audits to protect your information. We never sell your data to third parties.
By using our Services, you acknowledge that:
- We may collect and process data as described in our Privacy Policy
- You have rights to access, correct, and delete your personal data
- We maintain audit logs of data access for security purposes
- We comply with applicable data protection laws including GDPR and CCPA
5. Applications You Build & Your End Users
When you build an application on UpliftOS and make it available to your own customers, employees, or other end users, you are the provider of that application — not UpliftOS. UpliftOS supplies the platform and infrastructure; you decide what your application does, who can use it, and on what terms.
For every application you deploy to end users, you are responsible for:
- Ensuring the application serves a lawful purpose and complies with our Acceptable Use Policy — including the prohibited application categories listed there
- Providing your end users with your own terms of use and privacy notice, and obtaining any consents the law requires
- Acting as the data controller for personal data your application collects from end users (UpliftOS processes that data on your behalf — see our Data Processing Addendum)
- Reviewing and testing the application — including AI-generated code — before exposing it to end users
- Supporting your end users and handling their complaints and legal requests
Your application, your responsibility — including bugs. Applications you build on UpliftOS — including AI-generated code — are yours. UpliftOS does not warrant that generated or user-built applications are error-free, secure, or fit for any purpose, and is not responsible for defects, bugs, downtime, data loss, security vulnerabilities, or any damage your application causes to you or your end users. Responsibility for the quality, safety, and operation of an application rests with the customer account that owns and operates it.
End users of applications built on UpliftOS are additionally subject to our Terms for Applications Built on UpliftOS. We may suspend or remove any application that we reasonably believe violates the law, these Terms, or our policies, or that poses a security risk to the platform or its users.
Professional services & white-glove engagements. UpliftOS offers optional professional services — such as managed builds, migration, and managed operations — under a separate written agreement (an order form, statement of work, or master services agreement). That agreement, not these Terms, governs the services themselves, including any warranties, acceptance criteria, and support commitments for work we deliver. Once an application delivered through professional services is accepted and handed over to your account, it is operated under these Terms like any other application you own, unless your services agreement says otherwise.
6. Third-Party Websites, Crawling & Data Collection
The Services include tools that can interact with third-party websites and services on your instruction — including web crawling and scraping tools, research agents, prospecting data, integrations, and outbound communications. These tools are provided for lawful use only.
You — not UpliftOS — choose which sites, services, and data sources these tools touch, and you assume all risk of that choice. Many websites prohibit or restrict automated access, crawling, or scraping in their terms of service or robots.txt. Before directing any UpliftOS tool at a third-party site or service, you are solely responsible for confirming that your access is permitted and lawful.
Whenever you use these tools, you agree that you will:
- Comply with the target site's terms of service, robots.txt directives, and technical access controls
- Not circumvent paywalls, authentication, CAPTCHAs, rate limits, IP blocks, or other access restrictions
- Comply with applicable law, including computer-access laws (such as the CFAA), copyright and database rights, contract law, and privacy laws governing collected personal data
- Not collect data at a volume or rate that burdens or disrupts the target service
- Have a lawful basis for any personal data you collect, and honor deletion and opt-out obligations for it
UpliftOS does not review, approve, or monitor the targets you select and makes no representation that any particular site or service permits automated access. Claims arising from your crawling, scraping, or data collection are your responsibility under Section 10 (Indemnification).
7. Prohibited Uses
You agree to use UpliftOS only for lawful purposes. The following are prohibited:
- Use the Services to harm, harass, or defraud others
- Build, deploy, or distribute applications or agents that violate laws, third-party rights, or our Acceptable Use Policy — including applications designed for surveillance, deception, or other harm
- Crawl, scrape, or collect data from third-party sites in violation of their terms or applicable law (see Section 6)
- Share your account credentials with unauthorized parties
- Attempt to access other users' data or accounts
- Interfere with or disrupt the Services or servers
- Reverse engineer or attempt to extract source code of the platform itself
- Upload malicious code, viruses, or harmful content
- Use automated means to access the Services beyond permitted APIs
8. AI Disclaimer
Important: UpliftOS AI features — including agents and AI-generated applications and code — are tools designed to assist you. They are not substitutes for professional advice in legal, financial, medical, or other regulated fields. Always verify AI outputs and exercise human judgment for critical decisions.
You are responsible for reviewing and approving any actions taken by agents on your behalf, and for reviewing and testing AI-generated applications and code before deploying them to production or to end users. We recommend implementing approval workflows for sensitive operations.
9. Intellectual Property
The Services, including all content, features, and functionality, are owned by UpliftOS, its licensors, or other providers and are protected by intellectual property laws.
You retain ownership of any data, content, agent configurations, and applications (including the source code, schemas, and specifications) you create using the Services. You grant us a license to use this content solely to provide and improve our Services. Your applications are portable: you may export the source code of applications you create, subject to these Terms and any third-party license obligations.
AI-generated output. Code, text, and other content the Services generate from your prompts are provided to you without any warranty of originality or non-infringement. Generated output may resemble output provided to others, and you are responsible for reviewing it, confirming you have the rights to use it, and ensuring it does not infringe third-party rights or misappropriate trade secrets before you deploy or distribute it.
Open-source components. Applications generated on UpliftOS may incorporate open-source software, which remains governed by its own licenses. You are responsible for complying with those licenses when you use, distribute, or commercialize your application.
10. Indemnification
You will defend, indemnify, and hold harmless UpliftOS, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Applications and agents you build, deploy, or distribute, and your end users' use of them
- Your crawling, scraping, or collection of data from third-party sites and services
- Outbound communications you or your agents send through the Services
- Your content and data, including personal data you process through the Services
- Your violation of these Terms, our policies, or applicable law
11. Termination
You may terminate your account at any time through account settings or by contacting support. We may suspend or terminate your account if we reasonably believe you have violated these Terms.
Upon termination, your right to use the Services will immediately cease. We will retain and use your information as necessary to comply with legal obligations.
12. Limitation of Liability
To the maximum extent permitted by law, UpliftOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration.
