Order Form Terms

An Order Form is the commercial document for a UpliftOS subscription: what you are buying, for how long, at what price, and who authorized it. This document explains what one is, what accepting one commits you to, and how the invoices that follow relate to it.

It does not replace the Terms of Service, which is the agreement an Order Form is placed under, or Billing & Credits, which governs how charges are calculated. Where an Order Form and those documents conflict on commercial terms — price, quantity, term — the Order Form controls. On everything else, they do.

1. What an Order Form Is

An Order Form is issued to your organization with a document number of the form ORD-2026-0142. It states:

  • The lines you are buying — seats, applications, and prepaid credits — each with its quantity and its rate.
  • The recurring monthly figure, after any commitment discount.
  • The term.
  • The total contract value — the monthly figure across the term, plus any prepaid credit pool.
  • An authorized ceiling. This is the maximum that may be billed against the Order Form over its term.
  • Your own purchase-order number, if your organization uses one. That number is yours; we carry it so your accounts-payable team can match our invoices to your authorization.

The lines are a snapshot of what was quoted, not a live query. What the Order Form says is what it said when it was issued, and it is stored that way deliberately. Re-deriving it later from current prices would silently change what you agreed to.

2. The Terms Available

Two:

  • Monthly — a one-month term, at standard rates, with no commitment discount.
  • Annual, billed monthly — a twelve-month term, at a 15% commitment discount.

Annual billed monthly means one Order Form and twelve monthly invoices. You commit to the term and receive the discount; you are not asked to pay twelve months up front.

Annual prepaid is not available. It appears in our systems as a planned option and our software refuses to issue it, because doing so would commit us to revenue recognition, mid-term refund and annual fair-billing rules we have not built. We would rather decline the sale than issue a document promising machinery we do not have. If annual prepay matters to you, tell us — it is a sequencing decision, not a policy.

3. Accepting One

An Order Form takes effect when an authorized person at your organization accepts it. Acceptance records who accepted, when, and the name they typed. We keep the typed name alongside the account that accepted, because people leave organizations and a contract still has to say who signed it.

Acceptance is the moment the commitment starts, and from it every invoice in the term draws against the Order Form.

Accepting twice does not change anything. If an acceptance is submitted again, the original acceptance and its date stand. The date on a commercial document does not move.

Whoever accepts must have authority to bind your organization. We rely on that, and we do not independently verify it.

4. Two Clocks, and Why They Are Not the Same Clock

This is the part most likely to look wrong on an invoice, so it is worth stating plainly.

  • The commitment clock runs from the date you accepted the Order Form, for the length of the term.
  • The billing clock runs on your organization's own monthly billing day.

They are not aligned, and we do not force them to align. Twelve monthly invoices draw against one annual Order Form, and the first of those invoices will usually not begin on the day you signed. What connects them is the drawdown: each invoice records how much of the authorized ceiling it consumed.

You can see, for any Order Form, how much of its ceiling has been drawn and how much remains, together with every invoice that drew against it.

5. The Ceiling

The authorized amount is a ceiling, not a prepayment. It is the most that may be billed against the Order Form during its term.

  • Billing against an Order Form never exceeds its ceiling.
  • When the ceiling is fully drawn the Order Form is exhausted, and continuing to buy needs a new one.
  • Usage that would take you past the ceiling is a conversation, not a silent overage.

The remaining balance is calculated from the invoices that actually drew against it rather than from a stored counter alone, so what you are shown reconciles to the invoices you can read.

6. Discounts on an Order Form Are a Quote

A commitment discount appears on the Order Form as its own line. That line is part of a quote, not a credit. No invoice derived from an Order Form carries a negative line: the discount is applied in arriving at the rate you are billed, not issued to you as money.

7. Renewal, Expiry and Cancellation

  • An Order Form has a start date and an expiry date, both stated on it.
  • Expiry is not automatic renewal. When a term ends, continuing needs a new Order Form. Any auto-renewal is written on the Order Form itself, and where it applies the notice and cancellation rights in Billing & Credits apply.
  • An Order Form can be canceled by agreement. Canceling one does not by itself reverse invoices already issued against it; those follow the refund terms in Billing & Credits.
  • Ending a subscription does not delete your data. Data Rights and the Data Retention & Deletion Schedule govern that, and App Ownership & License governs taking your applications with you.

8. Taxes

Amounts on an Order Form exclude tax unless it says otherwise. Taxes are handled as Billing & Credits describes.

9. Which Document Wins

1. A signed Order Form, for the commercial terms it states.

2. The Terms of Service and the policies it incorporates, for everything else.

3. Billing & Credits, for how charges are calculated and collected.

An Order Form cannot vary the Terms of Service except where it says so explicitly and both parties have signed it. A purchase-order number you send us, and any terms printed on your own purchase-order document, do not modify this agreement.

10. Changes to This Document

We update this document as the commercial machinery changes. Material changes are notified as the Terms of Service requires, and the date at the top always reflects the current version. An Order Form you have already accepted is governed by the version in force when you accepted it.
